How to Register a Company in Montenegro

Montenegro doesn't require local citizenship or residence to open a company — a foreign founder can register, own and run a Montenegrin business from day one. What takes planning is the order of the paperwork, since several steps depend on documents produced by the ones before them.

Choosing a legal form

Most foreign founders register a društvo sa ograničenom odgovornošću (DOO) — the local equivalent of a limited liability company. It suits everything from a single-owner consultancy to a business with several partners.

The registration sequence

  1. Prepare the incorporation documents — founding act, company statute, and details of the founder(s) and director.
  2. Notarise and, where needed, apostille any documents issued outside Montenegro — a foreign passport copy or a power of attorney, for instance.
  3. Register with the Central Registry of Business Entities (CRPS), which issues the company its registration number.
  4. Order a company seal — still a practical requirement for a number of local procedures, even where its legal weight has narrowed.
  5. Open a company bank account — most banks want the CRPS registration in hand before they'll proceed.
  6. Register for tax — VAT registration is separate from the basic tax registration and depends on projected turnover.

Where diploma recognition fits in

If the business is in a regulated field — architecture, medicine, legal services — a foreign qualification may need nostrification (official recognition) before the company can legally offer that service in Montenegro. Company ownership and residence

Owning or working for a Montenegrin company can support a residence permit application, but the two processes are separate — registering a company doesn't automatically grant residence. What comes after registration

Once the company is registered and the bank account is open, ongoing obligations follow — annual financial reporting, tax filings, and, if the business involves property, the tax treatment of rental or sale income.
One requirement worth flagging early: for a non-EU sole founder — or a co-founder holding more than 51% of the company who also serves as executive director — extending the residence permit tied to the company means paying a minimum of €5,000 a year in taxes and contributions on their own salary.
